Terms of Service

Welcome to GrowReviews. These Terms of Service ("Terms") govern your access to and use of the GrowReviews platform, website, and services (collectively, the "Service") operated by GrowReviews ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

GrowReviews is an automated review request platform that sends SMS text messages and/or emails to your customers on your behalf to solicit feedback and online reviews. The Service is designed for businesses ("Clients") that wish to grow their online reputation by collecting authentic customer reviews.

2. Eligibility and Account Registration

You must be at least 18 years of age and have the legal authority to bind the business entity you represent. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

3. Client Responsibilities and TCPA Compliance

As a Client of GrowReviews, you acknowledge and agree to the following:

• Consent Collection: You are solely responsible for obtaining proper express written consent from your customers before uploading their contact information to the GrowReviews platform. This consent must comply with the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and all applicable federal, state, and local laws governing electronic communications.
• Consent Language: Your consent collection process must clearly disclose that customers will receive automated SMS messages for feedback and review requests, that consent is not a condition of purchase, that message frequency varies, that message and data rates may apply, and that customers can reply STOP to opt out at any time.
• Record Keeping: You must maintain records of consent obtained from each customer for a minimum of five (5) years and must produce such records upon request.
• Accuracy of Data: You are responsible for ensuring that all customer data uploaded to the platform is accurate and that the individuals have an existing business relationship with you.
• Do Not Call Compliance: You must scrub your contact lists against the National Do Not Call Registry and honor all opt-out requests promptly.

4. Acceptable Use

You agree not to use the Service to:

• Send messages to individuals who have not provided prior express written consent
• Upload false, misleading, or fraudulent customer data
• Send messages that contain unlawful, harassing, defamatory, or obscene content
• Attempt to manipulate or fabricate reviews on any third-party platform
• Violate any applicable law, regulation, or third-party terms of service
• Interfere with or disrupt the integrity or performance of the Service

We reserve the right to suspend or terminate your account immediately if we reasonably believe you have violated these terms.

5. Indemnification

You agree to indemnify, defend, and hold harmless GrowReviews, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your failure to obtain proper consent from your customers
• Your violation of the TCPA, CAN-SPAM Act, or any other applicable law
• Any claims brought by your customers or third parties related to messages sent through the Service on your behalf
• Your breach of these Terms

6. Billing and Subscription

• Subscription Plans: The Service is offered on a monthly subscription basis. Pricing details are provided at the time of account creation or as updated from time to time.
• Free Trial: New accounts may receive a complimentary trial period. At the end of the trial, your subscription will begin and you will be charged the applicable monthly fee unless you cancel before the trial expires.
• Payment: All fees are billed monthly in advance. Payments are processed through our third-party payment processor. You authorize us to charge your designated payment method for all applicable fees.
• Cancellation: You may cancel your subscription at any time by contacting us at hello@growreviews.pro. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.

7. Intellectual Property

All content, trademarks, logos, and intellectual property associated with the Service are owned by GrowReviews or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Service solely for your internal business purposes during the term of your subscription.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GROWREVIEWS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING OUT OF YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Termination

We may terminate or suspend your access to the Service at any time, with or without cause, upon notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including indemnification, limitation of liability, and governing law) shall survive.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in the State of Texas, and you consent to the personal jurisdiction of such courts.
